Welcome to Valmai (“we,” “us,” “our”), operated by Valmai (“Company”). These Terms of Service (“Terms”) govern your access to and use of the Valmai website at valmai.dev and all related services (collectively, the “Service”).
By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. What Valmai Does
Valmai is a web-based platform that uses artificial intelligence to build full-stack web applications based on your input. You describe what you want through our guided onboarding process, and our autonomous AI system architects, builds, tests, and delivers a complete web application.
Valmai is not a design agency, a freelance marketplace, or a consulting service. The work is performed entirely by AI systems. No human developers write your code.
2. Eligibility
You must be at least 13 years old to use Valmai. If you are under 18, you represent that you have your parent’s or legal guardian’s permission to use the Service. We reserve the right to terminate accounts that violate this requirement.
3. Accounts
You are responsible for maintaining the confidentiality of your account credentials. You are responsible for all activity that occurs under your account. You agree to notify us immediately of any unauthorized access.
We reserve the right to suspend or terminate accounts that violate these Terms or engage in abusive behavior.
4. Projects and Payments
4.1 Pricing
Valmai operates on a per-project pricing model. You pay once per build. Current pricing tiers are displayed on our website and may change at any time. The price shown at the time you initiate payment is the price you pay.
4.2 Payment Processing
Payments are processed through Stripe. By making a payment, you agree to Stripe’s terms of service. All prices are in USD.
4.3 When Payment Occurs
Payment is collected before any build begins. No AI processing, code generation, or resource allocation occurs until payment is confirmed.
4.4 What You Receive
Each project includes:
- A complete full-stack web application built to the specification you provided during onboarding
- Authentication, database, API routes, and responsive design as standard
- Automated testing on desktop and mobile devices
- A live preview URL where you can review your project
- The ability to download your complete source code
- Free revisions as specified by your tier (Standard: 2, Pro: 3, Elite: 5)
4.5 Revisions
Each tier includes a set number of free revisions after delivery. A revision is a request to modify the delivered project, described in plain English. Revisions are limited to changes within the original project scope. Requests that constitute an entirely new product or fundamentally change the project’s purpose are not considered revisions.
5. Refund Policy
Once a build has started, the project fee is non-refundable. AI processing consumes real computational resources from the moment the build begins.
If you are not satisfied with the output, you may use your included free revisions. We will work with you to improve the result.
Full refunds will be issued if:
- Our system genuinely fails to deliver a working project due to a technical error on our end
- We are unable to begin your build due to a system failure
- You cancel before the build process has started
Refunds will not be issued for:
- Dissatisfaction with design choices or subjective preferences (use your revisions instead)
- Projects that were built to spec but don’t match unstated expectations
- Changes in your mind about wanting the project
6. Code Ownership and Intellectual Property
6.1 You Own Your Code
The source code generated for your project belongs to you. Upon delivery, you receive full ownership of all code produced for your project. You may download, modify, deploy, sell, or distribute your code without restriction.
6.2 No Lock-In
You may deploy your code to any hosting provider (Vercel, AWS, Netlify, your own server, or anywhere else). You may leave Valmai at any time and your code comes with you.
6.3 What You Cannot Do
You may not:
- Claim that Valmai’s platform or AI system is your own product
- Resell Valmai’s service itself (you may sell products built by Valmai)
- Use the generated code to compete directly with Valmai’s core service (building an autonomous AI web app builder)
- Reverse-engineer Valmai’s proprietary AI prompts, build processes, or system architecture from the generated output
6.4 Valmai’s Rights
We retain the right to:
- Use anonymized, aggregated data about build patterns to improve our service
- Reference that a project was built using Valmai (e.g., “Built with Valmai”) unless you opt out
- Retain system logs and build metadata for operational and security purposes
We will never share, sell, or publicly display your project’s source code, design, or business logic without your explicit permission.
7. Acceptable Use
You agree not to use Valmai to build:
- Malware, viruses, phishing pages, or any software designed to harm others
- Tools designed to scrape, attack, or exploit other websites or services
- Products that facilitate illegal activity
- Products containing pornographic, sexually explicit, or exploitative content
- Products designed to harass, stalk, or threaten individuals
- Products that infringe on the intellectual property of others
- Products impersonating other businesses, individuals, or organizations
We use automated screening during onboarding to detect prohibited content. We reserve the right to refuse or terminate any project that violates this policy, without refund.
8. Limitations and Disclaimers
9.1 No Guarantees on Output
While we strive for high-quality output and use quality scoring and automated testing, we cannot guarantee that every build will be flawless or meet every subjective expectation. AI-generated code may contain bugs, design inconsistencies, or limitations.
9.2 Not a Substitute for Professional Review
If you plan to use your Valmai-built application for a business handling sensitive data (health records, financial information, legal documents), we strongly recommend having the code reviewed by a qualified developer before deploying to production.
9.3 Third-Party Dependencies
Projects built by Valmai may include open-source dependencies and third-party packages. These are governed by their own licenses. You are responsible for reviewing and complying with the licenses of any third-party code included in your project.
9.4 As-Is Provision
The service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
9. Limitation of Liability
To the maximum extent permitted by law, Valmai shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or related to your use of the Service.
Our total liability for any claim arising out of or related to these Terms or the Service shall not exceed the amount you paid to Valmai in the twelve (12) months preceding the claim.
10. Indemnification
You agree to indemnify and hold harmless Valmai, its founders, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney’s fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Any product you build, deploy, or distribute using code generated by Valmai
- Any claim that your project infringes on a third party’s intellectual property
11. Account Termination
We may suspend or terminate your account at any time if:
- You violate these Terms
- You engage in abusive or fraudulent behavior
- You attempt to exploit our systems
You may delete your account at any time. Upon deletion, we will remove your personal data and project files from our active systems. System logs may be retained for a reasonable period for legal and operational purposes.
12. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you via email or a prominent notice on our website. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
13. Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
14. Dispute Resolution
Any disputes arising from these Terms or the Service will first be attempted to be resolved through informal negotiation. If unresolved within 30 days, disputes will be settled through binding arbitration in accordance with the rules of the American Arbitration Association.
